Referral Content Publication Terms
These Referral Content Publication Terms (“Terms”) set out the conditions under which SLG Inc. (“we,” “us,” or “our”), operator of the AI content creation service “Stepeee” (the “Service”), features and publishes referral videos or articles independently created by users. By submitting referral content through the application form, you are deemed to have agreed to these Terms.
Article 1 (Purpose and Scope)
These Terms apply to everything from the submission of referral content through its publication and eventual removal. - These Terms apply together with the Stepeee Terms of Service and Privacy Policy. - For matters not covered by these Terms, the Stepeee Terms of Service shall apply. - If there is any conflict between these Terms and the Stepeee Terms of Service, these Terms shall prevail with respect to matters concerning the publication of referral content.
Article 2 (Definitions)
In these Terms, the following terms have the meanings set out below. - “Referral Content” means a video or article created for the purpose of introducing or explaining the Service, and published on a video platform such as YouTube or on a website such as a blog. - “Applicant” means the individual or entity that submits a Referral Content URL through the Application Form. - “Application Form” means the form on the Content Submissions page of the official Stepeee website used to submit a Referral Content URL. - “Publication” means our featuring of Referral Content on the official Stepeee website or on official Stepeee social media accounts. - “Stepeee Logo” means the black and white logo image files we distribute on the Content Submissions page.
Article 3 (Eligibility to Apply)
There is no charge to apply. You will not be charged any fee by us in connection with your application. - Applications may only be submitted by the person who created the Referral Content, or by someone who has obtained authorization from the creator to apply for publication. - If applying on behalf of a company or organization, the person applying must have the authority to agree to these Terms on that organization's behalf. - At the time of application, the Referral Content must already be published and viewable by the general public. - By submitting the Application Form, you are deemed to have agreed to these Terms and our Privacy Policy. - If the same Referral Content is submitted more than once, we may review only the first submission.
Article 4 (Decision on Publication; Contact Regarding Applications)
Whether to publish submitted Referral Content is determined solely at our discretion. Our decision is not based solely on the content or quality of the Referral Content. - Submitting an application does not guarantee publication. We do not guarantee that any Referral Content will be published. - Whether to publish is decided at our discretion, taking into account factors such as available publication slots, timing, the overall structure of the site, our operational policies, and other circumstances. This list is not exhaustive, and we may decline to publish for any reason. - As a general rule, we do not individually contact applicants or explain our decision, or the reasons for it, regarding whether content will be published. - As a general rule, we also do not individually reply to submissions made through the Application Form. The absence of a reply from us does not mean that your application was not received, or that a final decision has been made not to publish it. - Please check the official Stepeee website to see whether your content has been published. - A decision not to publish does not reflect any judgment on the quality or value of your Referral Content. - This Article governs our communications at the application stage. Communications regarding already-published content are governed by Article 10.
Article 5 (Placement, Duration, Order, and Replacement of Publication)
We determine where, for how long, in what order, and how many items of Referral Content are published. - We may change the placement of published content without prior notice. For example, content published on the top page may later be moved to a dedicated Referral Content page. - We do not guarantee any duration of publication. We may end publication at our discretion after it has begun. - We determine the order and display position of published content and do not guarantee any particular ranking or position. - We determine the number of publication slots at our discretion and may increase or decrease it. We do not guarantee that any particular number of slots will be maintained. - We may, at our discretion, replace published Referral Content with other Referral Content. We may end the publication of content currently displayed in order to publish newly submitted Referral Content. - A replacement may occur regardless of the content or quality of the currently published Referral Content, and being replaced does not reflect any judgment on its content or quality. As a general rule, we do not individually contact applicants or explain our reasons regarding a replacement. - The format of publication may change due to changes in site design, site renewals, or changes to the specifications of the Service.
Article 6 (Scope of License Granted to Us)
By applying for publication, the Applicant grants us a royalty-free, non-exclusive license to use the following: - Display of the title of the Referral Content - Display of the thumbnail or eye-catching image of the Referral Content - Display of the creator's name, channel name, blog name, or account name - Creation and display of a short introductory description summarizing the Referral Content (including any description text provided by the Applicant) - Display of the published URL of the Referral Content and the creation of a link to it - Display via embedded YouTube video players - Featuring, posting, reposting, and sharing on the official Stepeee website and official Stepeee social media accounts - Display adjustments to the extent necessary to fit our publication layout (such as resizing or cropping images, or truncating the end of a title; we will not make edits that change the substance of the content) - Reproduction and transmission, to the extent necessary to realize the above display, to external services we use such as servers, CDNs, and social media platforms This license does not transfer copyright itself to us. Copyright remains with the Applicant or the rightful rights holder, and we will not use Referral Content beyond the scope listed in this Article. If use beyond this scope becomes necessary, we will obtain the Applicant's consent separately. This license is also non-exclusive. The Applicant remains free to continue using, modifying, or deleting the same Referral Content, and may also have it featured by other parties.
Article 7 (Applicant's Representations and Warranties)
The Applicant represents and warrants that, as of the time of application, each of the following is true: - The Referral Content was created by the Applicant, or the Applicant has obtained authorization from the creator to apply for its publication - The Applicant holds the necessary rights to, or has obtained the necessary permission from the rights holders of, any music, images, footage, fonts, or other materials used in the Referral Content - The Referral Content does not infringe any third party's privacy, right of publicity, copyright, trademark, or other rights - The Referral Content does not violate the terms of the platform on which it is published (such as YouTube or the relevant blogging service) - The information entered in the Application Form is accurate If any of the above is found to be untrue, we will suspend or end publication in accordance with Article 9. If a dispute with a third party arises in connection with the Referral Content, the Applicant shall resolve it at their own responsibility and expense. However, this does not require the Applicant to bear losses caused by our intentional misconduct or negligence.
Article 8 (Prohibited Conduct)
The following are prohibited in connection with Referral Content: - Including information that is factually inaccurate, or expressions that guarantee unsubstantiated effects or earnings, or that are exaggerated - Including content that violates applicable law or public order and morals - Including content that infringes the rights of any third party - Including discriminatory expressions, or defamation of specific individuals or organizations - Using expressions that could be mistaken for our official website, official account, or official production, or that of the Service - Publishing non-public information, unreleased features, internal admin screens, or similar materials relating to the Service without our permission - Submitting mass-generated content with no substantive value, or content created solely to manipulate search rankings - Substantially rewriting the content after publication so that it differs significantly from what was reviewed
Article 9 (Suspension or Termination of Publication; Limitation of Liability)
We may suspend or end publication at any time, at our discretion. There is no limitation on the reasons for which we may do so. The following are examples of circumstances in which we may suspend or end publication. These examples are not exhaustive, and we may suspend or end publication at our discretion even in cases not listed below. - The Referral Content contains an error - The information in the Referral Content has become outdated due to a change in the specifications of the Service or otherwise - A third party has raised a claim of rights infringement - The linked page or video has been deleted, made private, or is otherwise no longer viewable - The content includes material that damages our reputation or that of the Service - The content includes false or exaggerated claims - The content falls under the prohibited conduct set out in Article 8 - Where we are replacing content with other Referral Content pursuant to Article 5 - For reasons related to our own operations, such as a site renewal, a review of our publication slots, or a change in our publication policy We will suspend or end publication without prior notice. As a general rule, we do not individually notify applicants that publication has been suspended or ended, or explain our reasons for doing so. As with Article 4, suspending or ending publication does not reflect any judgment on the quality or value of the Referral Content. If we cause loss to the Applicant through our intentional misconduct or negligence, we will compensate that loss. Our liability for damages under these Terms and in connection with publication is not limited to loss arising from the suspension or termination of publication, and is as follows. We are not liable for indirect damages, special damages, incidental damages, or lost profits (including, for example, a decrease in traffic resulting from the end of publication, or the non-occurrence of an anticipated referral reward). Where we are liable to pay compensation, the amount is limited to the direct damages ordinarily arising in such circumstances. Nothing in these Terms limits our liability for damages caused by our willful misconduct or gross negligence, or any liability that cannot be limited or excluded under applicable law.
Article 10 (Communications Regarding Published Content)
Responsibility for the content of Referral Content and for its publication rests with the Applicant from the time of application (Article 7). Because we are not in a position to guarantee the content of Referral Content, and because publication is provided free of charge, we are, as a general rule, unable to respond to requests to correct or remove published content, or to other individual inquiries regarding publication. We appreciate your understanding. - Decisions regarding whether to publish, placement, duration, replacement, and suspension or termination of publication are all made at our discretion (Articles 4, 5, and 9). These decisions remain unchanged even if we receive a request to correct or remove published content. - Even if you contact us, as a general rule we do not individually reply. - However, where there are grounds that we consider serious — such as a clear infringement of rights, a violation of law, or a matter that significantly damages our reputation or that of the Service — we will, at our discretion, take necessary action such as suspending or ending publication, or correcting the published content. - Even where we take such action, whether to act, how to act, and when to act are determined at our discretion. We do not set a deadline for taking action, and we do not guarantee that we will take action. - Please submit communications regarding serious matters through the Feedback form. When contacting us, please state the URL of the relevant Referral Content and the specific details of the matter. We may ask you to confirm your identity. - Even after content is taken down, information may remain in places beyond our control, such as search engine caches, existing posts on social media, or reposts by third parties. Please understand this in advance. - This Article does not limit any obligation we owe under applicable law, such as responding to requests for measures to prevent transmission under the Copyright Act, or responding to requests from data subjects under the Act on the Protection of Personal Information.
Article 11 (Status of Published Content)
The videos and articles we publish are independently created by their respective creators. We do not guarantee or officially endorse all of their content. - We will display a notice to this effect on the relevant publication page. - Publication does not mean that we commissioned the creation of the Referral Content. - Publication does not create any employment, agency, partnership, or contracting relationship between us and the Applicant. - Any specifications, pricing, or features of the Service described in the Referral Content reflect the information available at the time of publication and may differ from current information. Please refer to the official Stepeee website for the latest information.
Article 12 (Disclosure for Content Containing Referral Links)
You may include your own friend referral URL (a link that generates a referral reward) in your Referral Content. If you do so, please follow the rules below. - Include a clear disclosure within the Referral Content, such as “Ad,” “PR,” or “Includes promotion,” so that an ordinary consumer can clearly recognize that it is an advertisement. This reflects guidance from Japan's Consumer Affairs Agency requiring that affiliate advertising be clearly disclosed as advertising. - Place the disclosure where viewers or readers can easily find it. As a general guide, this means near the beginning of a video or at the top of the description, or near the beginning of an article. Avoid placing the disclosure only inside a collapsed section or somewhere it may be overlooked among other information. - Also comply with any advertising disclosure rules set independently by each platform (such as YouTube's paid promotion disclosure). - If we determine that a disclosure is insufficient, we may ask you to correct it. If you do not make the requested correction, we may decline to publish, or end publication of, the content. - If you are publishing content for audiences outside Japan, also comply with the advertising disclosure laws of the relevant country or region.
Article 13 (No Compensation for Publication; No Guarantee of Results)
Publication is provided free of charge. Except where we separately agree in writing, we will not pay any compensation or consideration for publication. - We do not guarantee that publication will increase the views, traffic, or subscriber count of your Referral Content. - We do not guarantee that publication will result in new sign-ups for the Service, subscriptions to a paid plan, or the occurrence of any referral reward. - We do not guarantee any particular ranking, display position, or amount of exposure for published content. - The terms of the friend referral program itself (including reward amounts, conditions for confirmation, payment methods, and exclusions) are governed by Article 7 (Referral Program) of the Stepeee Terms of Service. These Terms do not change the terms of the friend referral program.
Article 14 (Conditions for Using the Stepeee Logo and Name)
The Stepeee Logo we distribute on the Content Submissions page may be used subject to the following conditions: - It may be used only within Referral Content that introduces the Service, and for no other purpose. - Do not alter the aspect ratio. Any resizing must preserve the original proportions. - Do not change the color. Please use either the black or white logo we provide exactly as distributed, without altering its color. - Maintain sufficient clear space around the logo, and do not combine it with other shapes or text in a way that makes it look like a different logo. - Do not use it in a way that could be mistaken for our official production, official website, or official account. - Do not use it for the purpose of impersonating a Stepeee account or the Service. - Do not include the Stepeee name or logo in your own product name, service name, domain name, app name, or social media account name. - Do not use it in content that is illegal, misleading, or contrary to public order and morals. - We may ask you to stop or modify your use of the logo if we determine it necessary. Please comply promptly if we do so.
Article 15 (Handling of Personal Information)
When you apply, we collect the following information: - The URL of the Referral Content - Your email address, if you choose to provide one - Your creator name, channel name, blog name, or similar information that is already public on the Referral Content - Any content you enter in the notes field We use the information we collect for the following purposes: - Reviewing your application for publication - Confirming the details of your application and contacting you about it - Contacting you regarding corrections or removal of published content - Administrative communications relating to publication We will not publish any email address you provide on a published page. Except as required by law, we will not provide it to third parties without your consent. All other handling of your information is governed by our Privacy Policy.
Article 16 (Changes to These Terms)
We may change these Terms as necessary. - Any changes take effect from the time they are posted on this page. - We will announce material changes on the Content Submissions page. - The revised Terms will also apply to Referral Content that is already published. - If you do not agree to a change, you may request removal of your content. However, whether we act on that request is governed by Article 10.
Article 17 (Governing Law and Jurisdiction)
These Terms are governed by and construed in accordance with the laws of Japan. - If a dispute arises between us and an Applicant relating to these Terms or to publication, the parties will first attempt to resolve it through discussion. - If the dispute cannot be resolved through discussion, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance. - However, where mandatory laws of the Applicant's country of residence (such as consumer protection laws) apply, those laws shall take precedence.
These Terms take effect on August 1, 2026.
